Terms of Service
Effective October 23, 2026
These Terms of Service (“Terms”) are an agreement between RAFIE B LLC, a New York limited liability company doing business as Cardenza (“Cardenza,” “we,” “us”), and the business creating a Cardenza account (“you,” the “Merchant”). By creating an account or using the service, you agree to these Terms. If you are accepting on behalf of a business, you confirm you have the authority to bind it.
1. The service
Cardenza lets you create a digital loyalty card that your customers add to Apple Wallet (and, when available, Google Wallet), and gives you tools to stamp those cards from a phone at your counter, configure your reward program, print a sign-up code for your counter, and see how your program is doing. Feature availability varies by plan as described on our pricing page.
Cardenza is built for businesses. It is not offered to consumers, and your customers are not parties to these Terms — your loyalty program is your relationship with them (see Section 6).
The service changes over time. We add, change, and occasionally retire features. If a change materially reduces what a paid plan includes, we’ll give notice as described in Section 16. Features described as “coming” on our site are not promises of delivery dates.
2. Your account
You must provide accurate information at signup and keep it current. You are responsible for activity under your account and for keeping your credentials secure. One admin login per account at this time.
Scanner devices. Phones you pair to your account can add and remove stamps. You are responsible for the devices you pair — pair only devices you control, and revoke a device from your dashboard if it is lost, replaced, or no longer trusted.
3. Plans, trial, and billing
- Free trial. Every subscription plan starts with a 30-day free trial. We collect a payment method at signup and charge nothing until the trial ends. Cancel any time before day 30 and you pay nothing. If you don’t cancel, the plan you selected begins automatically when the trial ends, and we’ll remind you by email before that happens.
- Subscriptions renew automatically (monthly or annually) until canceled. You can cancel any time from your dashboard; cancellation takes effect at the end of the current billing period.
- Lifetime purchases are a one-time payment for continued access to the plan purchased, for as long as Cardenza operates the service. Lifetime access covers the plan’s features as sold; future paid add-ons may be priced separately. A lifetime seat covers one merchant account and one business location, and is non-transferable.
- Price lock. The subscription price in effect when you start a plan stays yours for as long as that plan remains continuously active. If you cancel and later return, the then-current price applies.
- Taxes. Prices exclude taxes. Where we are required to collect sales or similar taxes, they are added at checkout.
- Payment processing is handled by Stripe. We do not store your card details.
- Late or failed payment may result in your program being paused (passes stop updating, scanning is suspended) until payment is resolved.
4. Refunds
Except where required by law: subscription fees are non-refundable, and canceling stops future charges rather than refunding past ones — the 30-day trial exists so you can evaluate the service before ever paying. Lifetime purchases may be refunded in full within 14 days of purchase; contact us at the address in Section 18.
5. Your content and branding
You retain ownership of the names, logos, artwork, and text you upload or enter. You grant us a license to host, display, and reproduce them solely to operate the service — rendering your passes, your customer sign-up page, your printable materials, and previews. You are responsible for having the rights to what you upload, and for ensuring your content is lawful and not misleading. If you believe content on a merchant’s card or sign-up page infringes your rights, tell us at the address in Section 18; we’ll investigate and may remove it.
6. Your loyalty program and your customers
You are responsible for your loyalty program: the rewards you promise, honoring stamps and redemptions your customers have earned, the accuracy of your program’s description, and compliance with laws that apply to your promotions. Cardenza provides the card infrastructure; the offer is yours. If you change or end your program, handling outstanding customer balances fairly is your responsibility.
Your customers’ privacy. The loyalty records behind your customers’ passes are anonymous (see Section 10), and we hold them as your service provider, to run your program. If a law that applies to you, or your own policies, require you to tell your customers how your loyalty program uses their information, that notice is yours to give; our Privacy Policy describes what Cardenza holds and you may point to it.
Messages to your customers. Where the service lets you send messages or notifications to your customers’ passes, those messages are your communications: you are responsible for their content and for complying with marketing, anti-spam, and consumer-protection laws that apply to them.
7. Acceptable use
You agree not to: use the service for unlawful or deceptive programs; attempt to probe, overload, or breach the service’s security (including guessing pairing codes or manipulating stamp counts outside the provided tools); resell or white-label the service except as a plan feature expressly permits; interfere with other merchants’ use of the service; use the service to send spam or unsolicited messages; put content on a card or sign-up page that is illegal, infringing, hateful, or that promotes illegal goods; or enter sensitive personal information about anyone (such as government IDs, financial account details, health information, or your customers’ names and contact details) into the service’s text fields — the service is designed not to hold it. We don’t monitor your content, but we may investigate reports, remove content, and suspend or terminate accounts engaged in abuse.
8. Third-party platforms
Wallet passes depend on platforms we don’t control — Apple Wallet and Google Wallet — and on their continued availability and policies. We work to keep passes functioning as those platforms evolve, but we are not responsible for changes, outages, or limitations they impose.
9. Our property
The service — its software, design, and everything that isn’t your content — is ours or our licensors’. These Terms grant you no rights in it beyond use of the service while your account is in good standing. The “Powered by Cardenza” attribution appears as described for your plan. If you send us suggestions or feedback, we may use them without obligation to you.
10. Privacy and your customers’ data
Our Privacy Policy describes what we collect and how it’s handled — including that your customers’ loyalty data is held in anonymous form (no names, emails, or phone numbers). Loyalty data about your customers exists to operate your program; we don’t sell it or use it to market to your customers. For that data we act as your service provider (a “processor,” in the words of some privacy laws) and you decide what your program promises and how long it runs. If a law that applies to you requires a written data processing agreement with us, ask at the address in Section 18.
11. Termination
You may cancel your plan from your dashboard or ask us to close your account at any time. We may suspend or terminate your account for material breach of these Terms or non-payment. After cancellation or termination, your program is paused; your data is retained for 90 days (during which you may reactivate) and then deleted. Before it is deleted you may ask us for a copy of your account data (Section 18).
12. Disclaimers
The service is provided “as is” and “as available.” We do not warrant that it will be uninterrupted or error-free. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
13. Limitation of liability
To the fullest extent permitted by law: we are not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or revenues; and our total liability for all claims relating to the service is capped at the greater of (a) the amounts you paid us in the 12 months before the claim arose, (b) if you made a lifetime purchase, the price you paid for it, and (c) US $100.
14. Indemnification
You will indemnify us against third-party claims arising from your content, your loyalty program, or your breach of these Terms.
15. Governing law and disputes
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in New York County, New York, and both parties consent to their jurisdiction. Before filing, both parties agree to attempt to resolve any dispute informally by contacting the other and allowing 30 days for a response.
16. Changes to these Terms
We may update these Terms. For material changes we’ll give notice (by email to your account address or in the dashboard) at least 14 days before they take effect; continued use after that is acceptance. The current version always lives at this page, with its effective date at the top.
17. Miscellany
These Terms plus the pricing page and Privacy Policy are the whole agreement. If a provision is unenforceable, the rest stand. We may assign these Terms in connection with a merger or sale; you may not assign them without our consent, except that if you sell your business we will not unreasonably refuse to transfer a subscription account to the buyer (lifetime seats stay non-transferable, Section 3). No waiver is implied by inaction. Notices to you go to the email address on your account; notices to us go to the address below.
